By using the website, submitting a form, requesting an estimate, accepting a quote or paying a deposit, you confirm that you have read and understood these Terms.
Submitting a form or using the quote calculator does not constitute a firm order. An order becomes firm only after acceptance of a written offer and, if applicable, after payment of the deposit.

2. What is GateHex?
GateHex provides customized software services for businesses, professionals, entrepreneurs, and in some cases, individuals.
Services may include:
- Presentation websites.
- Web applications and SaaS platforms.
- Python APIs and backend.
- PySide6 desktop applications.
- Mobile applications.
- Automations and scripts.
- Custom ERP or CRM.
- Technical consultancy.
- Software auditing.
- On-page SEO optimizations.
- UI and UX design.
- Online payments integration.
- Integration of external APIs.
- AI integration.
- Maintenance and support, if agreed separately.
The details of each project are established through a written offer, accepted order, separate contract or technical annex.
3. B2B and B2C customers
GateHex works primarily with business clients, i.e. companies, PFA, II, IF, organizations or professionals.
GateHex may also accept orders from individuals, as consumers.
Special rights provided by consumer protection legislation apply to consumers. These rights cannot be limited by these Terms.
GateHex may accept clients from Romania, the European Union and other countries, depending on the project, language, payment method and legal requirements.
4. Services denied
GateHex may refuse any project, without the obligation to justify the decision, as long as the refusal is not discriminatory.
GateHex refuses projects that involve or may involve:
- Illegal activities.
- Violation of third party rights.
- Spam.
- Phishing.
- Malware.
- Fraud.
- Scraping abusively or contrary to the terms of the targeted sites.
- Adult content.
- Gambling.
- Crypto schemes, risky investments or pyramid schemes.
- Disinformation or fake news.
- Political campaigns.
- Activities that may affect the security, reputation or legality of GateHex.
If GateHex discovers after accepting the project that it has an illegal purpose or is contrary to these Terms, it may suspend or terminate the collaboration immediately.
5. Bid Calculator
The quote calculator provides a guide estimate.
The estimate generated by the calculator is not a firm offer, does not obligate GateHex to provide the services at that price and does not obligate the client to purchase.
The final price is established only after manual analysis and after submitting a written offer.
The estimate may vary depending on:
- The actual complexity of the project.
- The necessary functionalities.
- Third-party integrations.
- Delivery time.
- The desired design.
- Maintenance level.
- Technical risks.
- Changes requested by the customer.
- Information submitted after the initial estimate.
Estimates and quotes are valid for 30 calendar days, unless otherwise specified.
Prices can be displayed in RON or EUR. Conversion can be made according to GateHex internal settings or according to the exchange rate applicable on the date of the quote.
VAT is only applicable if GateHex is or becomes a VAT payer. If GateHex is not a VAT payer on the date of the quote, prices are exclusive of VAT.
6. Offers and conclusion of the contract
A written offer can be submitted via email, PDF document, proforma invoice or other durable medium.
The offer may include:
- Project description.
- Deliverables.
- The price.
- Work stages.
- Estimated deadlines.
- Number of revisions included.
- Payment terms.
- Excluded services.
- Special conditions of the project.
The contract is considered concluded in one of the following situations:
- The client accepts the offer in writing via email and pays the required advance.
- The client signs the contract or offer and pays the required advance.
- The client pays the advance payment for an offer sent by GateHex.
The payment of the advance payment constitutes acceptance of the offer and these Terms, if the offer refers to these Terms.
Verbal acceptance does not produce contractual effects.
WhatsApp messages can be used for clarifications, but do not constitute formal acceptance of an offer, unless GateHex explicitly confirms acceptance in writing by email.
For projects over EUR 5,000 or projects with an estimated duration of more than 3 months, GateHex may request a separate contract.
For small projects, the accepted offer, the invoice and these Terms may form the complete contractual framework.
If there are contradictions between these Terms, the written offer and the signed contract, the following order applies:
- The signed contract prevails for special clauses.
- The offer prevails for price, deliverables, terms and specific commercial conditions.
- These Terms apply to general rules.
7. Prices and payments
Prices are set out in the offer.
For clients in Romania, invoices may be issued in RON.
For clients in the European Union or outside the European Union, invoices may be issued in EUR or another agreed currency.
For projects under EUR 500, GateHex may request full payment in advance.
For larger projects, GateHex may request an advance payment of between 30% and 50% of the project value, according to the offer.
The remaining payment is due upon delivery, upon receipt or in stages, according to the offer.
The standard payment term is 15 calendar days from the issuance of the invoice, unless otherwise stated in the offer.
GateHex may refuse final delivery, source code transfer, live publication or activation of some services until full payment of the amounts due.
8. Late payment
For B2B customers, in case of late payment, GateHex may apply late payment penalties of 0.1% per day of the outstanding amount, but not more than 30% of the outstanding amount, unless otherwise provided in the offer or contract.
GateHex may also request reasonable costs of recovering the debt, within the limits of applicable law.
For consumers, any costs for late payment apply only within the limits permitted by law.
If an invoice remains unpaid more than 15 days after the due date, GateHex may suspend work, support, delivery or access to deliverables until the amounts due are paid.
Suspension caused by non-payment extends delivery terms.
9. Payment methods
The main payment method is bank transfer.
GateHex may in the future accept payment by card, PayPal, Revolut Business or other methods, if these are indicated in the offer or on the invoice.
Payment is considered made only after confirmation of receipt in the GateHex account or after confirmation by the payment processor.
If the payment is made internationally, the customer bears the bank fees or costs imposed by intermediaries, unless otherwise stated in the offer.
10. Future online payments
At the time of publication of these Terms, online payments are not active on the Site.
If GateHex will enable online payments, they will be processed through a licensed payment processor.
GateHex will not store full card details on the Site.
Payment will only be confirmed after confirmation is received from the payment processor.
For online payments, there may be additional terms from the payment processor.
11. Cancellation and refund
If the client cancels the project before GateHex has started work, GateHex may refund the amounts paid, minus a 10% administrative fee, if there were processing, analysis or booking costs.
If GateHex has started work, the advance payment becomes non-refundable to the extent that it covers the analysis, the booked time, the work performed and the costs already assumed.
If the amount paid exceeds the value of the work already performed and the costs assumed, GateHex may refund the difference.
If GateHex cancels the project through no fault of the client, GateHex will refund the undelivered and undelivered part.
If the project is blocked due to the client, due to lack of feedback, lack of materials, lack of access or non-payment, the suspension rules apply according to the following section.
12. Delays caused by the customer
The client must provide the necessary information, materials, access and feedback on time.
If the client is late with feedback, materials or approvals, the delivery period is automatically extended by at least the duration of the delay.
If the client does not respond for 30 calendar days, GateHex may suspend the project.
If the lack of response continues for another 30 days after suspension, GateHex may close the project.
Closing the project does not oblige GateHex to return the amounts related to work already performed, time booked or costs assumed.
Resumption of a project after more than 60 days of break may be treated as a new project and may require a new offer.
13. Specific consumer rights
This section only applies to natural persons who contract services for personal purposes, not related to professional or commercial activity.
The consumer has, in principle, the right to withdraw from the contract within 14 calendar days, without giving a reason.
The 14-day period runs from the date of conclusion of the contract for services.
If a consumer expressly requests the start of work before the expiry of the 14 days, GateHex may begin the provision of the services.
In this situation, the consumer understands that he may owe proportional payment for the services already provided up to the time of withdrawal.
If the service is fully performed before the expiry of the 14-day period, with the express consent of the consumer and with the confirmation that he understands the loss of the right of withdrawal, the right of withdrawal may be lost, according to the law.
For digital deliverables or digital content that is not delivered on a tangible medium, the consumer may lose the right of withdrawal if he has expressly agreed to the start of delivery before the expiry of the 14-day period and has confirmed that he understands this consequence.
For services or products made to the consumer's specifications or clearly personalized for him, the right of withdrawal may be excluded, within the limits of the law.
To exercise the right of withdrawal, the consumer can send an email to contact@gatehex.com.

If you need a standard withdrawal form in PDF format, you can request it from contact@gatehex.com.
14. Delivery
The delivery method is set out in the offer.
Delivery can be made by:
- Link to live version.
- Deploy on the server indicated by the client.
- Access to demo.
- Private Git repo.
- ZIP file.
- Final build.
- Email with deliverables.
- Admin access.
- Documentation.
For websites, delivery can mean publishing to the client's server or to a server specified by the client.
For applications, delivery can include demos, Git repos, final builds, documentation, and running instructions.
For large projects, delivery can be done in stages.
15. Reception and acceptance
After delivery, the customer has 7 calendar days to inspect.
During this period, the customer must report in writing any non-conformities with the agreed specification.
Non-conformities must be clearly described and must include, where possible:
- Reproduction steps.
- Screenshots.
- The browser or device used.
- Error messages.
- Expected behavior.
- Observed behavior.
If the customer does not submit observations within 7 calendar days, the delivery is considered tacitly accepted.
For staged projects, reception can be done separately for each stage.
Changes in preference, new ideas, functionalities not included in the offer and design changes requested after approval are not considered defects.
16. Revisions
The number of revisions included is set out in the offer.
Unless otherwise stated in the offer, the following rules apply:
- For presentation sites, 3 rounds of revisions are included.
- For other projects, 2 rounds of reviews are included.
- For custom applications, the number of revisions can be established separately in the offer.
- A review round means a coherent list of observations submitted by the client for that stage.
- The included revisions cover reasonable adjustments within the agreed specifications.
Not included in the revisions:
- New functionalities.
- Major structural changes.
- Changes in direction after approval.
- Reworking a previously approved section.
- Changes requested after final acceptance.
- Changes caused by incomplete information initially submitted by the customer.
- Additional changes are invoiced separately, based on an hourly rate or new offer.

GateHex may refuse changes that fundamentally change the purpose of the project. In this case, a separate offer may be issued.
17. Warranty
GateHex offers a 30-day warranty for defects in the delivered code that represent non-conformances to the agreed specification.
The warranty begins from the date of delivery or the date of acceptance, whichever is later.
The warranty covers the correction of actual bugs reported during the warranty period.
The warranty does not cover:
- New functionalities.
- Preference changes.
- Changes made by the customer or third parties.
- Problems caused by hosting.
- Problems caused by the domain, DNS or email.
- Problems caused by external APIs.
- Changes made by Google, Meta, Stripe, Netopia or other providers.
- Changes made by Google, Meta, Stripe, Netopia or other providers.
- Vulnerabilities that later appeared in third-party services.
- Data entered incorrectly by the customer.
- Illegal, incorrect or incomplete content provided by the customer.
If the customer modifies the project or allows a third party to modify it, the warranty ceases for the affected area.
18. Support and maintenance
During the 7-day reception period, GateHex provides support for delivery verification.
After reception, support and maintenance are only provided if included in the offer or purchased separately.
Maintenance may include request packages, interventions, updates, checks, backups or technical support, as per the offer.
For customers with active maintenance, the standard response time is 48 business hours, unless otherwise stated in the offer.
For customers without active maintenance, the standard response time is up to 5 business days.
GateHex does not guarantee 24/7 availability without a separate maintenance contract or SLA.
Security updates, library updates, adaptations to external services and urgent interventions may be billed separately.
19. Customer obligations
The client must:
- Provide correct and complete information.
- Provide necessary texts, images, logos and materials.
- Offers access to hosting, domain, accounts or APIs, if needed.
- Respond to GateHex requests within a reasonable time.
- Submit feedback within 3 business days for each stage.
- Check texts, prices, legal data and published information before launch.
- Make sure you have the right to use the materials you submit.
- Respect copyright and third party rights.
- Keep passwords and logins confidential.
- Back up before providing access to an existing site.
- Pay your bills on time.
The client is responsible for the legality of the content published in his project.
GateHex is not responsible for the content, prices, statements, commercial promises, legal texts or materials provided by the client.
20. Hosting, domains and email
GateHex does not offer direct hosting as a standard service.
GateHex can help the client configure the project on the client's hosting or on a provider chosen by the client.
The domain, hosting, business email, licenses and external accounts must be purchased in the client's name, unless otherwise agreed.
The client is responsible for paying for and maintaining the domain, hosting and email active.
GateHex makes backups only during development and, as a general rule, can keep them for up to 30 days after delivery.
After delivery, backup is the responsibility of the client, unless there is an active maintenance package that includes backup.
21. Third-party and open source services
Projects may use open source libraries, frameworks, plugins, APIs, fonts, payment services, email services, AI services, hosting services or other third-party services.
Open source libraries remain under their own licenses.
The customer must comply with the applicable licenses.
Commercial licenses, premium plugins, premium fonts, premium themes, paid APIs, hosting, domains and email are paid by the customer, unless the offer states otherwise.
GateHex is not responsible for changes, limitations, costs, interruptions, vulnerabilities or changes to terms imposed by third-party providers.
If an API, plugin, payment service, AI service, social network or other external provider changes its rules or functionality, the necessary adaptations are invoiced separately.
22. Intellectual property
The client guarantees that the materials sent to GateHex, including texts, images, logos, files, databases, audio or video materials, do not infringe the rights of third parties.
For custom code made specifically for the client, the client receives an unlimited right of use for his own project after full payment for the services.
For presentation sites, the client can receive the source files made for the project, after full payment.
For SaaS applications operated by GateHex or for platforms offered as a service, the client receives access to the platform, not the source code, unless the offer states otherwise.
GateHex retains the rights to:
- Internal frameworks.
- Boilerplates.
- Reusable components.
- General modules.
- Know-how.
- Working methods.
- Internal libraries.
- Technical structures that are not created exclusively for the client.
- GateHex may reuse general components in other projects, as long as it does not reveal confidential customer information.
- Customer may not resell the code as a separate product and may not sublicense it without the written consent of GateHex.
- The customer may modify the project for their own use after full payment. Modifications made by the customer or third parties may void the warranty for the affected area.
- The UI design, texts written by GateHex, and the logo created specifically for the client are transferred to the client after full payment, within the limits of the accepted offer.
- Generic assets, fonts, icons, libraries, templates, and third-party materials remain under the licenses of their creators.
23. Portfolio and credit
GateHex may include the project in the portfolio as a commercial reference without disclosing confidential information.
GateHex may display the project name, screenshots, general description, technologies used and public link, if the project is public.
The client may request confidentiality and exclusion of the project from the portfolio. This request must be submitted in writing.
For public websites, GateHex may include a credit in the footer of the type "Created by GateHex", with a link to the GateHex website.
The client may request the removal of the credit from the footer. Removal can be done for a one-time fee between 150 EUR and 300 EUR, according to the offer.
24. Confidentiality
The parties undertake to maintain the confidentiality of commercial, technical, financial and operational information received during the collaboration.
The confidentiality obligation applies during the collaboration and for 3 years after its termination.
For trade secrets, proprietary code, sensitive architectures, formulas, strategies, databases or critical information, the confidentiality obligation applies for an unlimited period.
Information that:
- They are public.
- They were legally known before the collaboration.
- They were obtained legally from a third party.
- They must be disclosed according to the law.
- They have been approved for disclosure in writing.
GateHex may disclose strictly necessary information to subcontractors, freelancers, accountants, lawyers, consultants or technical providers, if they have confidentiality obligations.
For sensitive projects, the parties may sign a separate NDA agreement.
25. Subcontractors
GateHex may work with subcontractors, freelancers or collaborators for design, development, testing, consulting, auditing, content or other technical activities.
GateHex does not require the prior consent of the client to use subcontractors, unless the offer or contract provides otherwise.
GateHex remains responsible to the client for the activity of subcontractors.
Subcontractors must comply with confidentiality obligations.
26. Limitation of liability
GateHex is only liable for direct damages caused by its proven fault.
To the extent permitted by law, GateHex's total liability is limited to the amount paid by the client for the project that generated the damage.
For monthly services or maintenance, the total liability is limited to the amounts paid in the last 3 months for the respective service.
GateHex is not liable for:
- Unrealized profit.
- Loss of income.
- Loss of customers.
- Data loss, if the backup was not included in an active service.
- Activity interruptions.
- Indirect losses.
- Opportunity costs.
- Hosting problems.
- Server crashes.
- DNS problems.
- Third-party provider issues.
- Legislative changes that occurred after delivery.
- Unrealized commercial results.
- Traffic, SEO positions, conversions or sales.
GateHex does not guarantee a specific level of traffic, Google ranking, number of leads, sales volume or profit.
Delivery times depend on the feedback, materials, accesses and approvals provided by the client.
27. Force majeure and fortuitous event
Neither party is liable for failure to perform obligations caused by force majeure or fortuitous event.
This category may include:
- Natural disasters.
- Fires.
- Floods.
- War.
- Pandemics.
- Legal restrictions.
- Major cyber attacks.
- Massive internet outages.
- Third-party provider failures.
- Power outages.
- Events that cannot be predicted, controlled or avoided.
The affected party must notify the other party as soon as possible.
If the situation lasts more than 30 calendar days, either party may terminate the collaboration without penalty, with payment for services already rendered.
28. Complaints
For complaints, the customer can write to:

The complaint must include:
- Customer name.
- The email used in the collaboration.
- The targeted project.
- Description of the problem.
- Relevant documents or captures, if any.
GateHex will respond within a maximum of 30 calendar days.
The parties will attempt to resolve the matter amicably for 30 days before proceeding to court, except in urgent cases or where the law allows immediate action.
29. Consumer dispute resolution
Consumers can use alternative dispute resolution mechanisms through ANPC.
Information about ADR ANPC is available here:

The European ODR platform for online dispute resolution was closed from 20.07.2025. For this reason, GateHex does not include a link to the old ODR platform.
This section does not limit the consumer's right to address the competent courts according to the law.
30. Applicable law and courts
These Terms are governed by Romanian law.
For B2B customers, disputes shall be resolved by the competent courts of Romania, in accordance with the applicable legal rules.
For consumers, the mandatory rules regarding consumer protection and the jurisdiction of the courts established by law shall apply.
31. Use of the website
Users of the site must use the site in a lawful and reasonable manner.
It is prohibited:
- Attempting unauthorized access to the administration area.
- Send malware, harmful scripts, or spam.
- Copying the content of the site without permission.
- Using false identities.
- Attempt to block or disrupt the operation of the site.
- Use forms for abusive or illegal messages.
GateHex may block access or limit use of the site in case of abuse.
32. Data protection
The processing of personal data is explained in the Privacy Policy.
By using the site, submitting forms or accepting an offer, you confirm that you have read the Privacy Policy.
33. Modification of Terms
GateHex may update these Terms when it changes services, processes, prices, suppliers or legal framework.
The updated version is published on the site.
The new terms apply only to future orders, unless the parties agree otherwise.
For ongoing contracts, the terms accepted on the date of the offer or the date of signing the contract apply.
GateHex may maintain an archive of previous versions on the site.
For important changes that affect active customers, GateHex may send notifications by email.
